Introduction

These Terms and Conditions (“Terms”) constitute a legal agreement between you (“the user”) and Green Light Disco LLC. (“Green Light Disco,” “we,” “us,” or “our”) and govern your use of the Green Light Disco platform, website, products, and services (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree to these Terms, you may not use the Services.

If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

1. Overview of Services

Green Light Disco provides AI-powered tools that enable users to rapidly create websites designed to simulate the sale of a product or service for the purpose of evaluating consumer interest. Users can build test sites, collect behavioral data (e.g., page views, add-to-cart, email capture), and receive an outcome evaluation (“Green Light,” “Yellow Light,” or “Red Light”).

Green Light Disco is a testing platform only. No real products are sold, no actual transactions occur, and all user-facing commerce functionality is simulated to evaluate intent.

2. Eligibility

You must be at least 18 years of age or the age of majority in your jurisdiction to use the Services. By using Green Light Disco, you represent and warrant that you meet this requirement.

3. License to Use the Platform

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for the purpose of testing the viability of a business idea, product, or service.

You may not:

• Modify, distribute, sublicense, or commercially exploit the Services outside the scope of their intended use;
• Reverse-engineer, decompile, or otherwise attempt to derive the source code or underlying models of the Services;
• Use the Services for any illegal, harmful, or misleading purpose.

This license terminates immediately if you violate these Terms.

4. User Responsibilities

You are solely responsible for:

• Driving traffic to your test website through marketing, advertising, or organic channels;
• Uploading or generating content that complies with applicable laws and intellectual property rights;
• Providing accurate information and not misleading users through your test content;
• Complying with privacy regulations when collecting email addresses or other visitor data;
• Managing your domain registration, subscription fees, and related platform services.

Green Light Disco bears no responsibility for the success or failure of your test, including your marketing efforts, traffic levels, or test results.

5. AI-Generated Content Disclaimer

The Services may use artificial intelligence to generate logos, images, product mockups, marketing copy, or layout suggestions. You acknowledge and agree that:

• AI-generated content is not guaranteed to be unique, accurate, or legally compliant;
• It is your responsibility to review, edit, and validate any content generated by Green Light Disco before publishing or using it;
• You may not rely on AI output for legal, medical, or financial advice or for any high-risk use cases.

Green Light Disco disclaims all liability for damages or losses resulting from your reliance on AI-generated content.

6. Domains and Third-Party Services

Domain names registered through Green Light Disco are processed via third-party registrars. By registering or linking a domain, you agree to the registrar's terms and conditions in addition to ours.

We are not responsible for:

• Delays, failures, or errors in domain provisioning or DNS configuration;
• Disputes over ownership or rights to domain names;
• Terms of service or actions taken by third-party providers used for analytics, payments, or hosting.

7. Fees and Payments

Launching a test website on Green Light Disco requires payment based on test duration (e.g., $3/day for 30 days) and domain registration, if applicable. All fees are:

• Due in advance,
• Non-refundable once the test is launched,
• Processed via third-party payment providers (e.g., Stripe).

You authorize Green Light Disco to charge your selected payment method for all applicable fees.

8. Intellectual Property

Our Rights

All intellectual property related to the Services—including but not limited to software, tools, templates, designs, branding, AI models, and analytics—is the exclusive property of Green Light Disco or its licensors.

Except as explicitly granted, no right or license is conveyed to you under any Green Light Disco intellectual property.

Your Rights

You retain ownership of all original content, product ideas, and materials you submit or upload, including but not limited to logos, brand names, and product descriptions. By using our Services, you grant Green Light Disco a limited license to host, reproduce, and display this content solely to provide the Services.

9. Data Ownership and Usage

We collect and process various forms of data to provide and improve our Services, including:

• Test Data (owned by you): product descriptions, brand assets, mockups, and user-entered configurations.
• Usage Data (owned by Green Light Disco): metrics such as site visits, clicks, engagement stats, and AI usage telemetry.

Green Light Disco may use anonymized, aggregated data for benchmarking, product improvement, and service optimization.

10. No Guarantee of Success

Green Light Disco provides tools for testing and evaluating user interest. You understand and agree that:

• A “Green Light” result is a data-driven signal, not a business guarantee;
• A “Red Light” result does not mean your idea lacks value—it reflects measured behavior during the test period;
• Green Light Disco makes no representations or warranties regarding the market potential, profitability, or success of your idea.

You are solely responsible for analyzing results, making business decisions, and assuming risk.

11. Termination

Green Light Disco reserves the right to suspend or terminate your access at any time for any reason, including violations of these Terms. Upon termination:

• Your license to use the Services will immediately end;
• We may delete your test site and related content;
• No refunds will be issued for prepaid periods.

12. Feedback

You may submit ideas, comments, or suggestions regarding Green Light Disco. By doing so, you grant us a perpetual, royalty-free, irrevocable license to use such feedback for any purpose without compensation or attribution.

13. Prohibited Conduct

You agree not to:

• Upload content that infringes on intellectual property or is illegal, misleading, or deceptive;
• Attempt to simulate real commerce or misrepresent your test as a functional e-commerce site;
• Circumvent platform restrictions, billing systems, or data collection limits;
• Harass, spam, or misuse the platform in any way.

14. Disclaimer of Warranties

The Services are provided “as is” and “as available,” without warranties of any kind, express or implied. Green Light Disco disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, accuracy, or non-infringement.

We do not warrant that:

• Your test will receive traffic or generate results;
• The platform will operate without interruption or error;
• Any content created through Green Light Disco will be legally or commercially viable.

15. Limitation of Liability

To the fullest extent permitted by law, Green Light Disco shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including:

• Lost profits or opportunities;
• Misinterpretation of test results;
• Downtime or service interruptions;
• Errors in AI-generated content;
• Failures of third-party services.

Total liability shall not exceed the amount you paid to Green Light Disco in the 12 months preceding the claim.

16. Indemnification

You agree to indemnify and hold harmless Green Light Disco and its officers, employees, and partners from any claims, liabilities, damages, or expenses (including legal fees) arising from:

• Your use of the Services;
• Content you submit;
• Your violation of these Terms or applicable law;
• Your business decisions based on test results or data.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Colorado, without regard to conflict of law provisions.

Any disputes shall be resolved exclusively in the state or federal courts located in Colorado, and you consent to personal jurisdiction in those courts.

18. Modifications

Green Light Disco may modify these Terms at any time by posting updated Terms on the site or notifying you via email. Continued use of the Services after changes constitutes acceptance of the revised Terms.
